Introduction

These Terms of Service ("Terms") govern your access to and use of services provided by Capital BOX SRL ("CapitalPBX", "we", "our", or "us").

By accessing our website or using our services, you agree to these Terms.

If you do not agree, you must not use our services.

3. Services

CapitalPBX provides business communication services, including but not limited to:
Virtual PBX
Call Center solutions
Call Tracking
Automation (Flows / IVR)
Provision of phone numbers (DIDs)
Call routing and telecom services

Services are provided primarily to business customers (B2B).


4. Account and Eligibility

By using the Service, you confirm that:
You act on behalf of a business or organization
You have authority to enter into binding agreements
All information provided is accurate and complete
You are responsible for maintaining the confidentiality of your account credentials.


5. Pricing and Billing

https://www.capitalpbx.ro/pricing
We reserve the right to update pricing at any time.

5.2 Subscription Fees
The Customer shall pay subscription fees for access to the Service as specified in the applicable agreement or pricing plan.
Services may be offered on:
Monthly subscription
Annual subscription (with applicable discounts)

5.3 Usage-Based Charges
In addition to subscription fees, the Customer shall be charged for usage-based services, including but not limited to:
Call minutes
Call recording
Metered features
Usage-based charges are calculated based on actual consumption during the billing period and invoiced together with subscription fees unless otherwise specified.

5.4 Payment Terms
All fees must be paid in full and on time
Failure to pay may result in service suspension or termination


6. No Refund Policy

All payments are non-refundable.
‍
This includes:
Subscription fees
Usage-based charges
Partial billing periods
‍
By using the Service, you agree to this no refund policy.


7. Phone Numbers and Portability


The Service may include provision of phone numbers (DIDs).

Customers may also use their own numbers (BYON)
Number porting may be supported subject to availability and regulatory requirements

The Provider does not guarantee:
Availability of specific numbers
Successful porting in all cases

Number assignment and usage are subject to telecom regulations and third-party providers.


8. Third-Party Carriers and Dependencies

The Service relies on third-party telecom carriers and infrastructure.

CapitalPBX is not responsible for:
Call quality issues
Routing failures
Carrier downtime
External network disruptions


9. Service Availability


The Provider will use commercially reasonable efforts to ensure service availability.
‍
However:
The Service is provided “as-is” and “as-available”
‍
No guarantee of uninterrupted or error-free operation is provided

Maintenance, updates, or modifications may result in temporary interruptions.
Where reasonably practicable, efforts will be made to minimize disruption.


10. Acceptable Use

You agree not to use the Service for:
Illegal activities
Fraud, spam, or abusive communications
Harassment or harmful conduct
Violations of telecom regulations

Violation may result in suspension or termination.


11. Fair Usage

The Customer shall use the Service in accordance with reasonable business practices.
‍
The Provider may monitor usage to ensure:
Network stability
Security
Proper functioning of the Service
‍
Usage may be limited or suspended in accordance with the Suspension Rules.


12. Suspension of Service

The Provider may suspend or restrict access to the Service in cases including but not limited to:
Non-payment
Suspected fraud or spam
Breach of these Terms
Violation of applicable laws or telecom regulations
Risk to network security or integrity
Excessive or abnormal usage
Inaccurate or incomplete customer information
Requirement by authorities or upstream providers


13. Call Recordings and Call Data

The Service may include:
Call recording
Call detail records (CDRs)
Call logs and metadata

The Customer is solely responsible for:
Compliance with applicable laws
Obtaining required consent for call recording
Proper use of stored communication data

The Provider is not liable for any misuse or legal non-compliance by the Customer.


14. Account and Data Ownership

The Provider retains ownership of the platform, infrastructure, and intellectual property
The Customer retains ownership of data they provide or generate

This includes:
Call recordings (if enabled)
Contact data
Customer content

Operational data (including CDRs, routing data, and billing records) remains the property of the Provider.
Upon termination, data may be retained, deleted, or anonymized in accordance with legal and operational requirements.


15. Intellectual Property

All rights to the Service, platform, and related materials belong to CapitalPBX.
‍
You may not:
Copy
Reverse engineer
Resell
Modifywithout authorization.


16. Limitation of Liability

To the maximum extent permitted by law:
CapitalPBX shall not be liable for indirect, incidental, or consequential damages
This includes loss of revenue, business, or data

Total liability is limited to the amount paid by the Customer in the last billing period.


17. Indemnification

You agree to indemnify and hold harmless CapitalPBX from any claims arising from:
Your use of the Service
Violation of these Terms
Breach of applicable laws


18. Termination

Either Party may terminate this Agreement for convenience with 30 days’ prior written notice.
‍
Termination does not affect:
Outstanding payment obligations
Rights accrued prior to termination
‍
No refunds apply upon termination.


19. Changes to the Service

We reserve the right to:
Modify features
Update functionality
Change service components

at any time without prior notice.


20. Changes to Terms

We may update these Terms at any time.
Updated versions will be published on this page.
Continued use of the Service constitutes acceptance.


21. Governing Law

These Terms are governed by the laws of Romania.
Any disputes shall be resolved by the competent courts of Romania.
